Inno Fit Band App Terms of Use

Welcome to Inno Fit. These Terms of Use (the “Agreement”) govern your use of the Inno Fit Band, charger(s), firmware, and accessories (the “Products”), as well as the Inno Fit App, related cloud services, and content (together, the “Services”).

The Services are operated by Inno Supps LLC (“Inno,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by this Agreement and our Privacy Policy (available in-app and at innosupps.com). If you do not agree, do not use the Services.

1. Eligibility & Accounts

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the authority to accept this Agreement.

The Inno Fit Band and App are not intended for children under 13. If we learn that an account was created by a child, it may be terminated and associated data deleted per our Privacy Policy.

You are responsible for maintaining accurate account information and safeguarding your login credentials.

2. Limited License; Ownership

Subject to this Agreement, Inno grants you a limited, revocable, non-exclusive, non-transferable license to install and use the Inno Fit App on devices you own or control and to use the Products solely with the App.

Inno and its licensors retain all rights, title, and interest in and to the Services, Products, firmware, software, documentation, and content. No rights are granted by implication.

3. Acceptable Use & Restrictions

You agree not to, and will not permit others to:(a) copy, modify, or create derivative works of the Services;(b) reverse engineer, decompile, or attempt to access source code or firmware;(c) bypass or probe security or authentication measures;(d) introduce malware, viruses, or automated scraping/bot traffic;(e) use the Services in violation of law or third-party rights; or(f) resell access, provide service bureau use, or misuse the Services.

4. Service Changes; Availability

We reserve the right to modify or discontinue any part of the Services at any time, with or without notice, provided such changes do not materially reduce functionality for active paid users.

The Services may be unavailable due to maintenance, network issues, or other events. We are not liable for any temporary unavailability.

5. Devices, Updates & Connectivity

You are responsible for compatible hardware, internet access, operating system versions, and related fees.

The App and firmware may automatically download and install updates to improve performance or security.

Some features may require the latest versions to function properly.

6. Health & Safety (Not Medical Advice)

The Services are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease or condition.

All data and insights provided are for general wellness and informational purposes only.

Always consult a physician before changing your diet, activity, sleep, or wellness routines.
In case of emergency, call 911 immediately.

Wear the Product as instructed. If irritation occurs, remove it and consult a clinician if symptoms persist. The Products are not toys, are not intended for children or pets, and may pose a choking hazard.

The data and insights provided by the Inno Fit App should never be used to make medical decisions or replace professional medical advice.

You acknowledge that any wellness insights provided are not intended for use in medical diagnosis or treatment decisions.

7. Third-Party Services & Links

The Services may reference or link to third-party websites, platforms, or content.

Inno is not responsible for any third-party materials, services, policies, or availability.

8. Data; Privacy; Communications

All data processing practices are detailed in the Inno Fit Privacy Policy, which is incorporated by reference into these Terms.

By using the Services, you consent to receiving essential communications (e.g., account, security, or feature updates).

You may opt out of marketing communications at any time via in-app settings or by contacting customerservice@innosupps.com.

Integrations:
The Inno Fit App does not currently integrate with Apple Health or Google Fit. Any future integrations will require your explicit opt-in consent.

Our Privacy Policy governs how we collect, use, and safeguard your personal data when you use the Inno Fit App and related Services.

9. Mobile Analytics and Tracking Technologies.

The App may use software development kits (SDKs), device identifiers, and similar technologies for essential operations, analytics, diagnostics, and engagement measurement.

We may use third-party technologies or development partners to provide analytics or diagnostic support. These partners are contractually required to protect your information and may only process data on our behalf.

You can control tracking in your mobile device’s privacy settings.

10. Paid Features and App Subscriptions

All features and functionality of the Inno Fit App require an active paid subscription.

By activating a subscription, you agree to recurring charges at the price and frequency disclosed at checkout until you cancel.

Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.

Cancellation: You may cancel your subscription at any time by:

Cancellations take effect at the end of your current billing period.

App Store Notice: Inno Fit subscriptions are billed and managed directly by Inno Supps LLC, not through the Apple App Store or Google Play. You cannot cancel or manage your subscription through app-store settings.

Refund Policy: Because subscription access provides immediate use of digital features and services, no refunds or credits are issued for partial billing periods, forgotten cancellations, or unused time once a billing cycle begins.

Replacements may be offered for defective or damaged equipment in accordance with our Fitness Band Return Policy.

Pricing and Feature Changes: Subscription pricing, duration, and included features may change from time to time. Updates will be posted in the App or on our website, and continued use after an update constitutes acceptance of the new terms.

11. Feedback

If you submit ideas, feedback, or suggestions, you grant Inno a perpetual, royalty-free, worldwide license to use, modify, and implement them without compensation or attribution.

12. Limited Warranty – Inno Supps Device

IMPORTANT: BY USING YOUR Inno Fit Band (“PRODUCT”), YOU AGREE TO BE BOUND BY THE TERMS OF THIS LIMITED WARRANTY. DO NOT USE YOUR PRODUCT UNTIL YOU HAVE READ THE TERMS OF THIS WARRANTY CAREFULLY.

  • 12.1 Warranty Period: The Clean Supps LLC DBA Inno Supps (“Warrantor”) warrants to the original end-user purchaser that this Product will be free from defects in materials and workmanship under normal use for a period of twelve (12) months from the date of original retail purchase (the “Warranty Period”).
  • 12.2 Who Is Covered: This Limited Warranty is non-transferable and covers only the original end-user purchaser. It does not cover products purchased from unauthorized resellers or products purchased used.
  • 12.3 What Is Covered: This limited warranty covers defects in materials and workmanship that arise under normal use of the Product in accordance with InnoSupp’s published guidelines.
  • 12.4 What Is NOT Covered (Exclusions): This limited warranty does not cover:
  • Normal Wear and Tear: Cosmetic damage including but not limited to scratches, dents, and broken plastic on ports unless failure has occurred due to a defect in materials or workmanship.
  • Water Damage: Damage caused by liquid contact where the device was submerged beyond its water resistance rating. This Product is not covered for submersion exceeding 1 meter of depth for more than 30 minutes.
  • Accidents & Abuse: Damage caused by accident, abuse, misuse, fire, earthquake, or other external causes.
  • Unauthorized Modifications: Damage caused by service, repair, or modifications performed by anyone who is not a representative of InnoSupp
  • Lost or Stolen Devices: This Limited Warranty does not cover Products that are lost or stolen.
  • 12.5 Your Remedy
    If a valid claim is received within the Warranty Period, InnoSupp will, at its option and to the extent permitted by law, replace the Product with a new or refurbished Product that is equivalent to the new Product in performance and reliability.
    InnoSupp does not offer monetary refunds under this Limited Warranty.
    Any replacement Product will be warranted for the remainder of the original Warranty Period.
  • 12.6 How to Obtain Warranty Service
    To report a defect or request a replacement under this Limited Warranty:
    • Email customerservice@innosupps.com
    • Include your order number, proof of purchase (original receipt), and a brief description of the issue.
    • Attach photos or a short video if available.
  • Shipping Costs:
    • You are responsible for the cost of shipping the defective product to Inno Supps.
    • Inno Supps will cover the cost of shipping the replacement Product back to you.

13. Warranty Disclaimers

THE PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant uninterrupted or error-free operation or that defects will be corrected.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNO AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS).

OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC PRODUCT OR SERVICE THAT GAVE RISE TO THE CLAIM.

Some jurisdictions do not allow these limitations, so certain provisions may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Inno and its affiliates, officers, employees, and agents from any claim, loss, or expense arising from your misuse of the Services, violation of this Agreement, or infringement of third-party rights.

16. Suspension & Termination

We may suspend or terminate your access to the Services at any time for suspected fraud, security reasons, or violation of this Agreement.

You may stop using the Services at any time.

Sections intended to survive termination (including §§6, 8, 11–18) will remain in effect.

17. Governing Law; Arbitration; Class Action Waiver

This Agreement is governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to this Agreement or the Services will be resolved through final and binding arbitration in Las Vegas, Nevada, before a single arbitrator under the American Arbitration Association (AAA) Commercial Rules.

No Class or Representative Actions:
You and Inno agree that disputes will be resolved only on an individual basis, not as part of a class, consolidated, or representative action.

Each party waives any right to a jury trial.

If this arbitration clause or class action waiver is found unenforceable, disputes will instead be resolved in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction there.

This section does not prevent either party from seeking temporary injunctive relief in court to protect intellectual property or confidential information.

18. Export; Government Use

You must comply with all applicable U.S. export control and sanctions laws.

The Services are “Commercial Items” as defined in applicable federal acquisition regulations and are provided with only the rights set forth in this Agreement.

19. Assignment; Severability; Waiver; Entire Agreement; Changes

You may not assign this Agreement without our prior written consent.

If any provision is held unenforceable, the remainder will continue in full force.

No waiver is effective unless in writing.

This Agreement, together with our Privacy Policy, constitutes the entire agreement regarding your use of the Services.

We may update or modify this Agreement at any time by posting a revised version in the App or on our website. It is your responsibility to review these Terms periodically for updates.

Your continued use of the Services after updates means you accept the revised terms.
