By applying to, enrolling in, or participating in the Inno Supps Affiliate Program, you confirm that you have read these terms and conditions, that you understand them, and that you agree to be legally bound by them.

A. Overview

These Terms and Conditions (the "Terms" or this "Agreement") govern and apply to your application to, enrollment in, and participation in the Inno Supps Affiliate Program (the "Program") operated by Clean Supps, LLC, doing business as Inno Supps ("Inno Supps," the "Company," "we," "us," or "our"). "You," "your," and "Affiliate" refer to the individual applying to or participating in the Program.

The Program allows approved Affiliates to earn commissions on qualifying sales of Inno Supps products made through www.innosupps.com (the "Site") that are properly attributed to the Affiliate's unique referral link (your "Affiliate Link"), in exchange for the Affiliate's original, compliant promotion of the Inno Supps brand to the Affiliate's own genuine audience.

When a customer clicks your Affiliate Link and opens the Site, the Company's affiliate platform generates a unique, single-use discount code that is automatically applied to that customer's cart or checkout (a "Safelink Code"). Safelink Codes are generated by the Company's systems, are not intended to be shared or reused, are valid only for the customer, session, and period set by the Company, and expire upon use or at the end of the applicable attribution window, whichever occurs first. The Program does not issue static or reusable discount codes.

You may only apply to or participate in the Program if you are eighteen (18) years of age or older.

By applying to, enrolling in, or participating in the Program, you expressly consent to and agree to be bound by these Terms, by the Inno Supps Terms and Conditions, Privacy Policy, and Cookies Policy posted on the Site, and by all Program guidance, brand guidelines, approved messaging, and updates published by the Company as described in Section D, each of which is incorporated into these Terms by reference. Where these Terms conflict with any other Site policy, these Terms control with respect to the Program.

Failure to comply with these terms will result in immediate termination of your affiliate account, your affiliate link, and all related privileges, as well as forfeiture of all unpaid commissions earned through your participation in the program.

Inno Supps further reserves the right to pursue any and all claims and remedies, legal and equitable, that may result from any violation of these Terms, including recovery of commissions paid on non-qualifying or improperly attributed orders and recovery of its costs of investigation and enforcement.

Inno Supps expressly reserves the right to modify these Terms at any time, with or without notice to you. Your continued participation in the Program following any such change constitutes and evidences your agreement to the modified Terms.

To contact us about any of the matters addressed in these Terms, including to ask questions, report a suspected violation by another Affiliate, or request deactivation of your Affiliate Link, email innoaffiliates@innosupps.com.

B. Eligibility, Your Affiliate Link, and Commission

1. Application and Approval. Inno Supps reserves sole and exclusive discretion over the approval, acceptance, rejection, suspension, and removal of any and all applicants and participants in the Program, for any reason or no reason. By applying, you expressly represent that you are eighteen (18) years of age or older and that all information in your application is true, complete, and current, and you agree to keep it current for as long as you participate.
2. Who May Participate. The Program is intended for individual creators and content publishers who promote Inno Supps to their own genuine audience through original content. To be eligible you must, at a minimum:
   1. be at least eighteen (18) years of age;
   2. be a legal resident of a jurisdiction in which the Program is offered and in which Inno Supps products may lawfully be sold and promoted;
   3. maintain an active, public social media presence with a genuine following of at least one thousand (1,000) followers across your chosen platforms at the time of application, which Inno Supps may verify, or otherwise meet the audience criteria communicated by the Company;
   4. be able to receive payouts in your own name through the payout platform and methods the Company makes available (which may include PayPal, bank transfer, or other methods);
   5. agree to receive Program-related and promotional communications from Inno Supps and its affiliated companies;
   6. follow @InnoSupps on each social platform on which you promote the Program; and
   7. upon the Company's request, provide accurate tax documentation (for example, IRS Form W-9 or the applicable Form W-8) and any identity verification the Company requires, and acknowledge that the Company may withhold payouts until any requested documentation is received.
3. Ineligible Participants. The following are not eligible to participate and, if enrolled, are in violation of these Terms:
   1. coupon, promo code, deal, discount, cashback, rebate, rewards, loyalty, or price-comparison websites, apps, browser extensions, newsletters, or communities, and any person who owns, operates, contributes to, or supplies links or codes to any of them;
   2. sub-affiliate networks, link aggregators, media buyers, or any person who intends to distribute the Affiliate Link to others for promotion;
   3. any person whose participation was previously terminated by the Company for a violation of these Terms, and any person acting on that person's behalf; and
   4. any person who is party to a separate written creator, influencer, or agency agreement with Inno Supps that states it governs that person's commissions, to the extent of any conflict.

   Current Inno Supps employees and contractors may participate in the Program, provided that they do not use Company accounts, systems, customer data, customer service interactions, Company email or SMS lists, Company advertising, or any other Company channel or resource to promote their Affiliate Link, and provided that their personal orders remain subject to Section B.7 and any additional internal rules the Company communicates to them.

4. One link per person. You are only permitted to apply for, hold, and use one affiliate account and one affiliate link. Applying for or using more than one affiliate account or affiliate link per person (including through different names, email addresses, social handles, or business entities), or sharing, selling, transferring, or assigning your affiliate link to any other person, is grounds for immediate termination and constitutes sufficient grounds for forfeiture of all unpaid commissions earned through your participation in the program.

   If you wish for Inno Supps to deactivate an Affiliate Link that has previously been approved, for any reason (including because you wish to apply for a new one, or because your Affiliate Link has been posted on a coupon or deal site), you may send a request to innoaffiliates@innosupps.com. Inno Supps may also, in its sole discretion, discontinue, deactivate, or replace any Affiliate Link, and void any outstanding Safelink Codes, at any time, with or without notice, including where it determines that an Affiliate Link has been publicly leaked or misused. No Commission is earned on a discontinued or deactivated Affiliate Link or a voided Safelink Code, and the Company has no obligation to pay Commission based on either.

5. Commission. Upon acceptance of your application, Inno Supps may issue you a unique Affiliate Link that you may use, in compliance with these Terms, to earn a commission (the "Commission") on Net Sales of Qualifying Orders. Commission rates, any commission tiers or bonuses, minimum payout thresholds, and payout schedules are those set by Inno Supps from time to time in its sole discretion, as reflected in the Program dashboard on the Company's designated affiliate platform (currently Social Snowball) or in official Program communications. Inno Supps may offer different commission rates for different Affiliates, products, promotions, creator groups, or channels, in its sole discretion.
6. Net Sales and Qualifying Orders. "Net Sales" means the amount actually paid by the customer for Inno Supps products in a Qualifying Order, less any discounts, refunds, returns, cancellations, chargebacks, fraudulent or disputed transactions, taxes, duties, shipping and handling charges, and any other charges or deductions applied to the order.

   A "Qualifying Order" is a completed, paid, and non-refunded purchase of Inno Supps products on the Site by a bona fide third-party customer that the Company's tracking systems attribute to your Affiliate Link within the applicable attribution window and in accordance with Section C, and that does not result from any activity prohibited by these Terms. Orders placed on third-party marketplaces (for example, Amazon, Walmart, or TikTok Shop) are not Qualifying Orders under these Terms unless Inno Supps states otherwise in writing.

7. Personal Use of Your Link. You may click your own Affiliate Link to receive the Safelink Code discount on your own personal orders. However, orders placed by you, by any member of your household, or using any payment method, shipping address, email address, or customer account associated with you are personal orders, are not Qualifying Orders, and earn no Commission. Any Commission credited on a personal order will be reversed and, if already paid, recovered under Section C. Personal-use discounts are subject to any quantity limits set by the Company, and products purchased with a personal-use discount may not be resold.
8. Safelink Codes and Stacking. Safelink Codes generated from your Affiliate Link are single-use, non-transferable, expire as set by the Company, and are not stackable with each other or with any other discount, promotion, gift card promotion, or offer unless Inno Supps states otherwise in writing. The discount value carried by a Safelink Code is set by the Company and may be changed at any time.
9. Payment. Inno Supps will pay Commission on Qualifying Orders in accordance with its then-current payment policies and practices. Currently, Commission on a Qualifying Order becomes eligible for payout after a thirty (30) day holding period, which allows for returns, cancellations, chargebacks, and fraud review, and payouts are generally processed through the Company's designated third-party payout platform once your balance meets the applicable minimum payout threshold and any tax and identity documentation the Company has requested has been received.

   You authorize Inno Supps to share the personal information necessary to track, process, and make Commission payments with its designated affiliate and payout service providers. Inno Supps may modify its payment policies and practices, including the holding period, minimum payout threshold, payout schedule, and available payout methods, at any time in its sole discretion, and any change is effective when reflected in the Program dashboard or communicated by the Company, provided that no change will reduce Commission already earned on Qualifying Orders completed before the change. Earned Commission is reflected in the Program dashboard, and Inno Supps has no obligation to provide any other statement, report, notice, or accounting of Commission.

10. Sufficiency of Commission. You acknowledge that the Commission is sufficient consideration for your participation in the Program and for the licenses and rights you grant under these Terms, and that you have no entitlement to any other compensation, fee, reimbursement, product, equity, or consideration of any kind, except as Inno Supps may separately agree in writing. Product samples, gifts, giveaways, early access to launches, bonuses, and contest prizes, if any, are provided at the Company's sole discretion, subject to availability, and may be changed or discontinued at any time.
11. No Guarantee of Earnings. Inno Supps makes no representation, warranty, or guarantee regarding any level of income, sales, traffic, or results from your participation in the Program. Commission is payment for results, not for time worked.
12. When Commission Is Earned; Dashboard Balances. Commission is not earned, and no right to payment accrues, until:
    1. Inno Supps has verified the order as a Qualifying Order;
    2. the applicable holding period has passed without cancellation, refund, return, chargeback, or reversal; and
    3. neither the order nor your account is subject to an open review, hold, reversal, or forfeiture under Section C.

    Until all three conditions are met, any pending balance displayed in the Program dashboard is an estimate only and is not an amount owed to you. No interest accrues on any pending, withheld, or delayed Commission.

C. Attribution, Commission Adjustments, Reversals, and Forfeiture

1. Company Records Control. Inno Supps' tracking systems and records (including those of its designated affiliate platform) are the sole and conclusive record of orders, attribution, Net Sales, and Commission. Attribution decisions are made by Inno Supps in its sole discretion, and you agree that you are not entitled to Commission on any order that the Company's systems do not attribute to your Affiliate Link in accordance with these Terms.
2. Attribution Window. Commission is earned only on Qualifying Orders completed within the attribution window then in effect following the customer's click on your Affiliate Link, as determined by the Company from time to time in its sole discretion and applied by its tracking systems. The Company may, but is not required to, publish the then-current attribution window in the Program dashboard or in Program communications. A click, and any Safelink Code generated from it, expires at the end of that window or upon use, whichever occurs first. Inno Supps may change the attribution window, the attribution model, and the Safelink Code expiration settings at any time in its sole discretion, and no such change will affect Commission already earned on Qualifying Orders completed before the change.
3. Genuine Referral Required. Commission is intended to reward orders that result from your own original content and your own genuine promotional efforts to your own audience. Inno Supps may, in its sole discretion, decline to pay, reduce, or reverse Commission on any order where it determines that:
   1. the customer obtained your Affiliate Link, or a Safelink Code generated from it, from a coupon, deal, cashback, or discount website, app, browser extension, forum, or any source other than your own content;
   2. the customer reached the Site through Inno Supps' own paid advertising, email, SMS, search, social, or other Company marketing channel, or through another Affiliate's or partner's content, and your Affiliate Link was clicked, or a Safelink Code was applied, without a genuine referral by you;
   3. the order was placed by you or by a person, account, or payment method associated with you (see Section B.7);
   4. the order resulted from any activity prohibited by Section E; or
   5. the order is otherwise not reasonably attributable to your genuine promotional efforts.
4. One Commission Per Order. Where an order is associated with more than one Affiliate Link or other attribution source, Inno Supps will determine attribution in its sole discretion based on its tracking systems and its then-current attribution rules, and Commission will be paid to at most one Affiliate per order.
5. Reversals and Adjustments. Commission is reversed or adjusted for orders that are cancelled, refunded, returned, charged back, disputed, unpaid, flagged as fraudulent, or otherwise not completed, and for any order later determined not to be a Qualifying Order. If an adjustment relates to Commission already paid to you, Inno Supps may deduct the amount from your future payouts, and you agree to repay any remaining amount within thirty (30) days of the Company's written request.
6. Investigation Holds. Inno Supps may suspend your Affiliate Link and withhold pending Commission, in whole or in part and for as long as it considers necessary, while it reviews any suspected violation of these Terms or any unusual, suspicious, or fraudulent activity, including unusual spikes in clicks or Safelink Code redemptions, a high ratio of orders to published content, referring sources inconsistent with your content, or orders originating from geographies or channels inconsistent with your audience.

   Inno Supps may, but is not obligated to, investigate any matter, is not required to complete any review within a particular time, and is not required to disclose the evidence, methods, or reasoning behind any determination. You agree to cooperate in any review, including by providing information about how and where you promoted your Affiliate Link, and your failure to respond within seven (7) days of a request is itself a violation of these Terms. Inno Supps' determination is final and binding.

7. Forfeiture. All unpaid commission, including commission on orders that would otherwise be qualifying orders, is forfeited upon your violation of these terms, as determined by Inno Supps in its sole discretion. Your participation in the Program constitutes your consent to the effectuation of such forfeiture. Forfeiture is in addition to, and not in place of, any other remedy available to the Company, including recovery of Commission previously paid on non-qualifying orders.
8. No Duty to Monitor; No Waiver by Payment. Inno Supps has no obligation to monitor, review, or pre-approve your content or activity, and any monitoring, review, approval, or payment by Inno Supps does not relieve you of responsibility for compliance, does not constitute acceptance of the activity that generated a Commission, and does not waive any violation. Inno Supps may act on a violation whenever it is discovered, including after Commission has been paid.
9. Paid Traffic Indicators. Sessions or orders attributed to your Affiliate Link whose landing URL or referral data carries an advertising-platform click identifier (for example, gclid, gad_source, gbraid, wbraid, fbclid, ttclid, msclkid, or any similar parameter) will be treated by Inno Supps as paid traffic generated by you in violation of Section E, unless Inno Supps has approved the specific campaign in writing in advance. Inno Supps may rely on its tracking data, referral data, and URL parameters as conclusive evidence of the source of traffic, and its determination is final.
10. Disputes Regarding Commission. If you dispute any attribution decision, reversal, adjustment, hold, or Commission amount, you must notify Inno Supps in writing at innoaffiliates@innosupps.com within thirty (30) days after the date the Commission was paid or, if unpaid, the date it would otherwise have become eligible for payout. If you do not, the Company's records and determinations are deemed accepted by you and the dispute is waived.

D. Permitted Uses of Your Affiliate Link

1. Program Guidance. Inno Supps may provide guidance and updates from time to time regarding permitted uses of your Affiliate Link and your participation in the Program, including brand guidelines, approved product messaging and claims, creator briefs, contest rules, and promotional calendars, through the online platforms to which you have been invited by a Company representative (for example, the Inno Supps Affiliate Discord community, the Program dashboard on the Company's designated affiliate platform, and email).
2. Obligation to Join and Monitor. You are required to join such platforms upon receipt of notice that they are in use by the Program, and to keep your contact information current. You are further obligated to monitor such guidance and updates, and you will be presumed to be, and held responsible for being, familiar with them, whether or not you actually access the materials or participate in the Program activities publicized and conducted on those platforms.
3. Permitted Promotion. Subject to these Terms and the Company's current guidance, you may promote your Affiliate Link through:
   1. original photo, video, written, audio, and live content that you personally create and publish to your own public social media accounts, channels, websites, newsletters, and podcasts;
   2. direct, personal, non-automated recommendations to people you know; and
   3. any other channel that Inno Supps expressly approves in writing in advance.
4. Tagging and Disclosure. Unless the Company's current guidance states otherwise: Instagram content must tag @InnoSupps in the image or video and in the caption and include #InnoSupps; TikTok content must tag @InnoSupps and include #InnoSupps in the caption; YouTube content must include your Affiliate Link in the video description; and all content promoting Inno Supps must include a clear and conspicuous disclosure of your material connection to Inno Supps as required by Section G. Content that is not tagged as required may not be tracked or credited by the Company.
5. Changes to Guidance. Inno Supps expressly reserves the right to modify its policies, brand guidelines, approved messaging, and practices regarding permitted use of Affiliate Links at any time, in its sole discretion, with or without advance or written notice.

E. Prohibited Uses of Your Affiliate Link

Inno Supps may also provide guidance and updates from time to time regarding prohibited uses of your Affiliate Link through the platforms described in Section D. As previously stated, you are required to join such platforms and to monitor such guidance, and you will be presumed to be familiar with it whether or not you actually access it.

Current guidance for PROHIBITED use of your Affiliate Link includes, but is not limited to, the following. You must not do any of the following, and you must not permit, assist, or encourage any other person to do so on your behalf:

Coupon Sites, Deal Sites, and Public Posting

• DO NOT post, submit, share, or allow your Affiliate Link, or any Safelink Code generated from it, to appear on any coupon, promo code, deal, discount, cashback, rebate, rewards, or price-comparison website, app, browser extension, or plug-in or on any public website, forum, or community where you are not the creator of the surrounding content (for example, Reddit, Quora, Google, Wikipedia, shared Pinterest boards, or the comment sections of other people's posts).
• DO NOT distribute your Affiliate Link by unsolicited email, text message, or direct message, or through any other form of spam, or by automated means, bots, or scripts.
• DO NOT click your own Affiliate Link in order to generate Safelink Codes for distribution to others, and DO NOT post, share, screenshot, forward, or otherwise distribute any Safelink Code.
• DO NOT knowingly allow your Affiliate Link to remain posted on any coupon, deal, or discount site, app, or extension, or on any public site where you did not place it. If you learn that your Affiliate Link appears in any such place, you must notify innoaffiliates@innosupps.com within forty-eight (48) hours so that Inno Supps may, in its discretion, replace the link. Commission on orders that came through a leaked or misposted Affiliate Link may be reversed under Section C regardless of whether you caused the leak.

Paid Advertising and Search

• DO NOT run, purchase, or place any paid advertising of any kind, on any platform (including Google Ads, Microsoft Ads, Meta, Instagram, TikTok, YouTube, Snapchat, Pinterest, X, Reddit, programmatic, native, sponsored placements, or paid boosts or promotion of your own posts), that mentions Inno Supps or its products, that directs traffic to the Site or to any page containing your Affiliate Link, or that otherwise promotes your Affiliate Link, unless Inno Supps has approved the specific campaign in writing in advance (see Section C.9).
• DO NOT bid on, purchase, or target "Inno Supps," "InnoSupps," "Inno Cleanse," any other Inno Supps product name, or any variation, misspelling, abbreviation, or combination thereof (including in combination with words such as "coupon," "discount," "promo," "code," "review," "affiliate," or "ambassador") as a keyword, search term, hashtag, or audience on any search engine, shopping engine, marketplace, app store, or advertising platform.
• DO NOT use Inno Supps trademarks, product names, or brand terms in the display URL, headline, or copy of any advertisement.
• DO NOT direct paid, purchased, or arbitrage traffic through your own or any third party's website, landing page, coupon page, or redirect in order to apply your Affiliate Link to orders.

Self-Referral, Fraud, and Manipulation

• DO NOT earn or attempt to earn Commission on your own orders, on orders placed by members of your household, or on orders that you placed or paid for on behalf of others (see Section B.7).
• DO NOT create or use more than one Affiliate account, or apply through another person, name, or business entity, in order to obtain additional Affiliate Links.
• DO NOT modify, remove, or alter any part of your Affiliate Link, including its tracking parameters, and DO NOT use any other Affiliate's identifier. Link shorteners and bio-link tools are permitted only if they preserve the full destination URL exactly as issued.
• DO NOT engage in cookie stuffing, forced clicks, hidden or auto-loading links or iframes, pop-unders, misleading redirects, link cloaking that misrepresents the destination, typosquatting, or any other technique that registers a click on your Affiliate Link, or applies a Safelink Code, to a customer's session or order without the customer's knowing and intentional action.
• DO NOT offer or pay customers any cash back, rebate, refund, kickback, or other inducement funded by your Commission, and DO NOT share or split your Commission with customers or third parties.
• DO NOT place, or arrange for others to place, fake, test, or fraudulent orders, orders using stolen or unauthorized payment methods, or orders intended to be returned, cancelled, or charged back.
• DO NOT use fake accounts, purchased followers, engagement farms, or automated engagement to qualify for, remain in, or advance within the Program or its contests.
• DO NOT sell, transfer, share, or sub-license your Affiliate Link to any other person, or operate as, through, or on behalf of a sub-affiliate network.

Brand, Trademark, and Channel Misuse

• DO NOT register, use, or operate any domain name, subdomain, social media handle, page, group, channel, or email address that contains "Inno Supps," "InnoSupps," "Inno Cleanse," or any other Inno Supps trademark or product name, or that suggests that you are Inno Supps or are officially affiliated with, employed by, or endorsed by Inno Supps.
• DO NOT hold yourself out as an employee, officer, spokesperson, or authorized representative of Inno Supps, or state or imply that your content is an official Inno Supps communication.
• DO NOT reuse, repost, or edit Inno Supps' original content, advertising, product imagery, or copy, or another Inno Supps creator's original content, for your own purposes without prior written permission, and DO NOT remove or alter any watermark, credit, or disclosure.
• DO NOT promote or post your Affiliate Link on Inno Supps' corporate or official social media profiles, posts, advertisements, groups, live streams, or comment sections, on other Inno Supps creators' profiles or posts, or on any Inno Supps product listing on any marketplace.
• DO NOT use Inno Supps' logos, trademarks, or brand assets in any manner not expressly authorized by the Company's brand guidelines or in writing.

Marketplaces, Resale, and Diversion

• DO NOT list, sell, or resell Inno Supps products, including products purchased with your personal discount or received free of charge as samples, gifts, or prizes, on any marketplace, website, or other channel (for example, Amazon, Walmart Marketplace, eBay, Facebook Marketplace, Poshmark, or Mercari), and DO NOT divert products to any wholesaler, retailer, or other third party.
• DO NOT promote your Affiliate Link as a means to purchase Inno Supps products on any platform other than the Site, unless Inno Supps states otherwise in writing.

Product Claims and Content Standards

• DO NOT state or imply that any Inno Supps product diagnoses, treats, cures, mitigates, or prevents any disease or medical condition, and DO NOT make any other health, safety, efficacy, or results claim that is not included in the Company's approved messaging or that you cannot substantiate (see Section G).
• DO NOT make any false, misleading, deceptive, exaggerated, or unsubstantiated statement about Inno Supps, its products, its pricing or promotions, or its competitors, and DO NOT present results, timeframes, or "before and after" outcomes that are not truthful, accurate, and representative.
• DO NOT promote Inno Supps products to, or create content targeting, individuals under eighteen (18) years of age, and DO NOT promote the use of any product in a manner inconsistent with its label directions.
• DO NOT use inappropriate, profane, sexually explicit, violent, hateful, or discriminatory language or imagery, and DO NOT reference controversial political, religious, or social topics, when promoting Inno Supps.
• DO NOT post or promote Inno Supps in connection with content that infringes any third party's intellectual property, privacy, or publicity rights, or that violates the terms of service or branded-content policies of the platform on which it is posted.

Conduct Toward the Inno Supps Team and Community

• DO NOT disparage Inno Supps' products, advertising content or practices, company, employees, creators, or business practices or processes (see Section M).
• DO NOT ask Inno Supps moderators or community managers about the status of any order that you or your customers have placed, as they do not have access to individual order information. Direct all order inquiries to Inno Supps customer service through the Site.
• DO NOT message Inno Supps employees, contractors, moderators, or other representatives on their personal social media accounts or personal contact channels.
• DO NOT ask Inno Supps employees, moderators, or live hosts for unannounced launch dates, restock dates, pricing changes, or other non-public information, and DO NOT share any non-public Program or Company information you receive (see Section J).
• DO NOT harass, threaten, spam, or recruit other Affiliates or community members, and DO NOT solicit Inno Supps' customers or community members for any competing product, brand, or program within Inno Supps' communities or in the comments of Inno Supps' content.

Failure to comply with these terms will result in immediate termination of your affiliate account, your affiliate link, and all related privileges, as well as forfeiture of all unpaid commissions earned through your participation in the program, and may result in the company seeking recovery of commissions previously paid on non-qualifying orders and any other remedy available at law or in equity.

Inno Supps expressly reserves the right to modify its policies and practices regarding prohibited uses of Affiliate Links at any time, in its sole discretion, with or without advance or written notice. Your continued participation in the Program following any such change constitutes and evidences your agreement to the modification.

F. Content, Intellectual Property, and License

1. Company Intellectual Property. As between you and the Company, the Company owns all right, title, and interest, including all Intellectual Property Rights, in and to the Inno Supps name, logos, trademarks, trade dress, product names, formulations, packaging, website, advertising, photography, video, copy, and the Program itself.

   "Intellectual Property Rights" means all copyright, trademark, patent, trade secret, moral, publicity, authors', contract, licensing, goodwill, and other intellectual property rights existing now or in the future, in any jurisdiction, and all renewals and extensions of them. Nothing in these Terms transfers any Company Intellectual Property Rights to you. You receive only a limited, revocable, non-exclusive, non-transferable permission to use the Inno Supps name and the brand assets that the Company provides to you, solely to promote the Program in compliance with these Terms and the Company's brand guidelines, for so long as you remain an Affiliate in good standing.

2. Your Content. As between you and the Company, you own all right, title, and interest, including all Intellectual Property Rights, in and to the original content you create and publish in connection with the Program ("Content"), subject to the license below and to the Company's rights in its own Intellectual Property that appears in your Content.
3. License to the Company. You grant to the Company and its affiliated companies a royalty-free, fully paid, perpetual, irrevocable, worldwide, non-exclusive, sublicensable, and transferable license to use, reproduce, copy, modify, adapt, edit, translate, distribute, publish, publicly perform, publicly display, and create derivative works of your Content, in whole or in part, in any media or format now known or later developed, for any purpose, including advertising, marketing, paid media, the Site, marketplaces, retail, email, SMS, and social media, as if the Company owned the Content.

   You further grant the Company an irrevocable, perpetual, worldwide right, but not the obligation, to use your name, username, image, likeness, voice, and biographical information in connection with your Content and the Program, without any additional fee, notice, or approval. To the extent permitted by law, you waive, and agree not to assert, any moral rights or rights of attribution or integrity in the Content against the Company, its affiliated companies, or their licensees.

4. Consents and Releases. You represent and warrant that you own or control all rights in your Content, that your Content does not infringe or misappropriate any third party's rights, and that you have obtained, before publication, the written consent and release of every person who appears in or is identifiable in your Content (and, for any minor, of the minor's parent or legal guardian) permitting the use and licensing of that person's name, image, likeness, and voice as described in these Terms.

   You are solely liable for, and agree to indemnify the Company against, any claim, cause of action, damage, cost, or expense (including attorneys' fees), known or unknown, arising from your failure to obtain any required consent or release, or from any music, footage, image, or other third-party material included in your Content.

5. Brand Guidelines and Takedown. You will comply with the Company's brand guidelines and approved messaging, and you will obtain prior written consent for any use of the Company's logos, trademarks, or other proprietary property not expressly authorized in these Terms or the guidelines.

   Inno Supps may, at any time and in its sole discretion, require you to edit, remove, or take down any Content that promotes or references Inno Supps, and you agree to do so within forty-eight (48) hours of the Company's request. Upon termination of your participation, you will promptly remove your Affiliate Link from your content and profiles and cease representing that you are an Inno Supps Affiliate; the license granted in this Section survives termination.

6. Feedback. Any suggestions, ideas, or feedback you provide about Inno Supps products, marketing, or the Program may be used by the Company for any purpose without restriction or compensation to you.

G. Compliance with Laws, FTC Disclosures, and Supplement Marketing Rules

1. Applicable Law. Your Content and all of your Program activity must comply with all applicable laws, regulations, and industry guidelines in every jurisdiction in which your Content is published or accessible, including the Federal Trade Commission Act, the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising, the FTC's rules regarding consumer reviews and testimonials, the Federal Food, Drug, and Cosmetic Act and the Dietary Supplement Health and Education Act, applicable state consumer protection and advertising laws (including California's Proposition 65 where applicable), the CAN-SPAM Act and the Telephone Consumer Protection Act, applicable privacy and data protection laws, and the published terms of service and advertising and branded-content policies of each platform on which you post.

   You are solely responsible and liable for your compliance, and you acknowledge that the Company's guidance does not constitute legal advice.

2. Material Connection Disclosures. You must clearly and conspicuously disclose your material connection to Inno Supps (that you earn commissions, receive free product, or otherwise benefit from purchases) in every piece of Content that promotes Inno Supps or contains your Affiliate Link, using each platform's native disclosure tool where available and, in addition, within the Content itself, in a manner that is unavoidable, easy to understand, and placed where consumers will see it before they engage (for example, "#ad," "#InnoSuppsPartner," "I earn a commission from purchases made through my link," or as otherwise specified in the Company's current guidance).

   Disclosures placed only in a bio, on a linked page, or buried among other hashtags are not sufficient. In video and live content, the disclosure must be made verbally and, where possible, in on-screen text.

3. Honest Opinions and Substantiated Claims. Every statement you make about Inno Supps products must reflect your honest opinion and actual experience, must be truthful and not misleading, and must be consistent with the product's label, the Site, and the Company's approved messaging.

   You must not make any claim about a product's efficacy, ingredients, results, safety, or superiority that the Company has not approved in writing or that you cannot substantiate with competent and reliable evidence. Any statement about results you have personally experienced must be accurate and, unless the Company has substantiation that the results are typical, must be accompanied by a disclosure that results vary and are not typical.

4. No Disease or Drug Claims. Inno Supps products are dietary supplements. They are not intended to diagnose, treat, cure, mitigate, or prevent any disease, and statements made about them have not been evaluated by the Food and Drug Administration.

   You must never state or imply that any Inno Supps product treats, cures, prevents, or reduces the risk of any disease or medical condition, never compare any product to a prescription drug or medical treatment, never describe any product as a substitute for medical care, and never encourage anyone to use a product in a manner inconsistent with its label directions or without consulting a healthcare professional where appropriate.

5. Product Use at Your Own Risk. Your use of Inno Supps products is solely at your own risk. Inno Supps does not provide medical or health advice, and you should consult a qualified healthcare professional before using any dietary supplement, particularly if you are pregnant, nursing, taking medication, or have a medical condition. Nothing in the Program or these Terms constitutes medical advice.
6. Competitor Statements and Comparisons. Any comparison to competing products must be truthful, substantiated, not disparaging, and consistent with the Company's guidance, and you must not use any competitor's trademarks in a misleading manner.
7. Right to Require Corrections. Inno Supps may require you to correct, revise, or remove any Content that it believes is non-compliant, and your failure to do so within forty-eight (48) hours of the Company's request is a material breach of these Terms. Inno Supps may also report non-compliant Content to the applicable platform.

H. Representations and Warranties

You represent and warrant that:

1. you are eighteen (18) years of age or older;
2. you have the legal right, capacity, and authority to enter into this Agreement and to perform your obligations under it, and doing so does not breach any other agreement to which you are a party;
3. all information you provide in your application and in the Program dashboard, including your identity, contact, tax, and payment information, is true, accurate, and complete, and you will keep it current;
4. you will comply with all applicable laws and regulations, and with the published terms and policies of each platform on which you promote Inno Supps, in connection with your participation in the Program;
5. you will not violate, infringe, or misappropriate the intellectual property, proprietary, privacy, publicity, or other rights of any third party in connection with your participation in the Program;
6. your Content and communications in connection with the Program will not be abusive, harassing, defamatory, harmful to the reputation of any person, pornographic, indecent, profane, obscene, hateful, racist, discriminatory, or otherwise objectionable, and will not be false, deceptive, or misleading;
7. your social media following and engagement are genuine and have not been purchased or artificially inflated;
8. you are not, and you do not own, operate, contribute to, or supply links or codes to, any coupon, deal, cashback, or discount website, app, extension, or community; and
9. you have read and understand these Terms and the Company's current Program guidance.

I. Term, Termination, and Forfeiture

1. Term. These Terms take effect when you apply to or enroll in the Program and continue until your participation is terminated by you or by Inno Supps. You may end your participation at any time by emailing innoaffiliates@innosupps.com, and your termination is effective when the Company deactivates your Affiliate Link.
2. Company Discretion. Inno Supps reserves sole and exclusive discretion over your participation in the Program. Inno Supps may terminate or modify these Terms, or suspend, terminate, or modify your participation in the Program or your Affiliate Link, at any time and for any reason or no reason, with or without advance or written notice, including if Inno Supps suspects or knows of any improper, prohibited, or fraudulent act, any breach or potential breach of these Terms, prolonged inactivity or failure to maintain the engagement criteria communicated by the Company, failure to submit required tax or verification documentation, or any conduct that Inno Supps believes may harm its reputation, community, customers, or business.

   Inno Supps is not required to state or substantiate its reasons for any suspension, termination, hold, reversal, or forfeiture decision. Your continued participation in the Program following any change to these Terms constitutes and evidences your agreement to the change.

3. No Notice Required. You have no entitlement to advance or written notice of termination or modification of your participation in the Program, and Inno Supps has no obligation to provide advance or written notice of termination or deactivation of an Affiliate Link.
4. Commission After Termination. If your participation ends for reasons other than your violation of these Terms, Commission earned on Qualifying Orders completed on or before the termination date remains payable in accordance with the Company's then-current payment policies and practices, subject to the holding period, minimum payout threshold, reversals, adjustments, and offsets described in Sections B and C, and as reflected in the Program dashboard.

   Inno Supps has no obligation to prepare or deliver any final report, statement, or accounting. Any balance below the minimum payout threshold at the time of termination may, at Inno Supps' election, be forfeited. No Commission is earned on orders completed after the termination date.

5. Forfeiture for Violation. Commission that has been forfeited due to your violation of these Terms will not be paid, and your participation in the Program constitutes your consent to such forfeiture where it is warranted by a violation of these Terms, which Inno Supps will investigate and determine in its sole and exclusive discretion. Forfeiture does not limit the Company's right to recover Commission previously paid on non-qualifying orders or to pursue any other remedy.
6. Effect of Termination. Upon termination, you must immediately stop using your Affiliate Link and all Inno Supps brand assets, remove your Affiliate Link from your content, profiles, and websites, cease representing that you are an Inno Supps Affiliate, and leave any Program-only platforms if requested by the Company.
7. Survival. The provisions of these Terms that, by their meaning and effect, are intended to survive termination shall so survive, including, without limitation, Sections C, F, G, H, I, J, K, L, M, N, and O.

J. Protection of Confidential and Proprietary Information

1. You recognize that the Company is engaged in a continuous program of product development, marketing strategy, and business planning, and that in the course of the Program you may receive non-public information about the Company. Accordingly, at all times during your participation in the Program, and perpetually thereafter, you will hold in confidence and will not disclose, use, publish, or make copies of any of the Company's Proprietary Information (defined below), except to the extent such disclosure, use, or publication is:
   1. expressly authorized in writing or by email by an officer of the Company; or
   2. expressly required by law, in which case you will give the Company prompt notice (where legally permitted) so that it may seek protective treatment.
2. "Proprietary Information" means private, confidential, trade secret, or other proprietary information of the Company (whether or not marked confidential and whether or not embodied in tangible form) relating to any actual or anticipated business of the Company or its affiliated companies, including unreleased products, formulations, launch and restock dates, pricing and promotional plans, creator briefs, commission structures and payout data, sales and performance data, customer information, marketing strategies, and non-public information shared in Program-only channels (such as the Affiliate Discord community) or resulting from any task assigned to or work performed by you for or on behalf of the Company, whether disclosed to you before or after the effective date of these Terms.
3. "Proprietary Information" does not include information that:
   1. is or becomes generally known to the industry or the public other than through your breach;
   2. is legitimately made available to you by a third party without breach of any confidentiality obligation; or
   3. is part of your general skill and knowledge.
4. Upon termination or upon the Company's request, you will promptly return or destroy all Proprietary Information in your possession. You acknowledge that a breach of this Section may cause the Company irreparable harm for which money damages would be inadequate, and that the Company is entitled to seek injunctive relief in addition to any other remedy.

K. Indemnification

You shall indemnify, defend, and hold harmless the Company and its parent companies, subsidiaries, affiliated companies, and their respective members, managers, shareholders, officers, directors, employees, agents, contractors, and representatives (the "Indemnified Parties") from and against any and all claims, demands, suits, proceedings, investigations, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses (including, without limitation, reasonable attorneys' fees and legal costs, which will be reimbursed as incurred) of any kind or nature arising from or relating to:

1. any actual or alleged breach of any of your representations, warranties, covenants, or obligations in these Terms;
2. your Content, including any claim that it infringes or misappropriates a third party's rights or violates any law or platform policy;
3. any claim or statement you make about Inno Supps or its products;
4. your negligence, willful misconduct, or fraud in participating in the Program;
5. any violation of law by you; and
6. any tax, withholding, penalty, or contribution assessed against the Company as a result of your participation.

You may not settle any indemnified claim against any Indemnified Party unless the settlement unconditionally releases the Indemnified Parties of all liability and involves no admission or obligation on their part. The Company may participate in the defense of any indemnified claim with counsel of its choosing at its own expense, and may, at your expense, undertake and control the defense of any indemnified claim if you materially fail to do so.

L. No Publicity

Other than accurately describing yourself as an "Inno Supps Affiliate" (or such other title as the Company designates) in your Content and profiles while you are an Affiliate in good standing, you may not issue any press, news, or other release, or otherwise publicize or represent, that you are associated with, sponsored by, employed by, or performing services for the Company without the Company's prior written permission. You may not use the Company's name or marks to state or imply that the Company endorses you, your other content, or any other product, service, or brand.

M. Non-Disparagement

You agree that, during your participation in the Program and thereafter, you will not orally, in writing, or through any other medium criticize, disparage, make any negative or derogatory statement about, or otherwise undermine the reputation of Inno Supps, or comment in any negative way upon the business operations, products, services, employees, creators, practices, procedures, or policies of Inno Supps, including in any content, review, comment, live stream, or community post, whether or not you identify yourself as an Affiliate. If you have a concern or complaint about Inno Supps, its products, or the Program, you agree to raise it directly with the Company at innoaffiliates@innosupps.com so that the Company has the opportunity to review it. Nothing in this Section prohibits you from making truthful statements required by law or legal process, from communicating truthfully with any government agency or regulator, or from exercising any right that cannot lawfully be waived.

N. Limitation of Liability and Disclaimer of Warranties

1. Limitation of Liability. To the maximum extent permitted by applicable law, neither Inno Supps nor any of its affiliated companies, members, managers, officers, directors, employees, agents, or service providers (including its affiliate-platform and payment providers) shall be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising from or relating to the program or these terms, however caused and under any theory of liability, even if advised of the possibility of such damages.

   In no event shall the total aggregate liability of Inno Supps and its affiliated companies to you for all claims arising from or relating to the program or these terms exceed the total commission actually paid to you by Inno Supps in the twelve (12) months immediately preceding the event giving rise to the claim. Inno Supps is not responsible for tracking failures, platform outages, lost or misattributed clicks or orders, or the acts or omissions of any third-party platform or payment provider.

2. Disclaimer of Warranties. The program, the program dashboard, your affiliate link, and all related tools and materials are provided on an "as is" and "as available" basis, without representations, warranties, or guarantees of any kind.

   The Company expressly disclaims any and all representations, warranties, and guarantees, express or implied, with respect to the Program or any products sold through the Program, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any implied warranties arising out of a course of performance, dealing, or trade usage. The Company makes no warranty:

   1. that the Program will meet your requirements;
   2. that the Program, the Site, or any service provider's platform will be uninterrupted, timely, secure, or error-free;
   3. that tracking or attribution will be accurate or complete; or
   4. that you will earn any particular amount of commission.

   Any material downloaded or otherwise obtained through the Program is accessed at your own discretion and risk, and you are solely responsible for any damage to your device or loss of data that results.

3. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the limitations above apply to the fullest extent permitted by law.

O. Miscellaneous

1. Independent Contractors. The parties are independent contractors, and nothing in these Terms creates, or is intended to create, a partnership, joint venture, employment, franchise, or agency relationship between them. Neither party has, or will represent that it has, authority to bind or commit the other in any way except as expressly provided in these Terms.

   You are free to provide similar services to others and to maintain your own independent business operations, and you determine your own schedule, methods, and manner of promotion, subject to these Terms. You acknowledge and agree that you receive no Company-sponsored benefits (for example, paid vacation, sick leave, health insurance, or retirement benefits) as a contractor or otherwise, except as required by law, and that you are responsible for all of your own business expenses, equipment, insurance, and licenses.

2. Taxes. You are solely responsible for all taxes, contributions, and filings imposed on you as a result of your participation in the Program, including on the value of any product, gift card, store credit, or prize you receive.

   The Company may withhold amounts required by law and may require completed tax documentation before releasing any payout. Any information reporting required by applicable law (for example, IRS Form 1099-NEC or Form 1099-K) will be made by the party that the law requires to make it, which, depending on the payout method, may be the Company or the third-party payout platform through which you are paid. The Company makes no representation that any particular tax form will be issued to you, and the absence of a form does not relieve you of your tax obligations.

3. Assignment. You may not assign, transfer, or delegate any of your rights or obligations under these Terms, whether by operation of law or otherwise, without the Company's prior written consent, and any purported assignment without consent is void. Inno Supps may assign these Terms, in whole or in part, without your consent to an affiliated company or to a third party acquiring (by sale, merger, reorganization, or otherwise) all or substantially all of the Company's assets or business, or the business to which the Program relates.
4. Amendments. Inno Supps expressly reserves the right to modify these Terms at any time, with or without notice to you. Changes are effective upon posting to the Site or upon communication to you through the Program dashboard, Program platforms, or email, whichever is earlier. Your continued participation in the Program following any change constitutes and evidences your agreement to the modified Terms. It is your responsibility to review these Terms regularly.
5. Notices. The Company may give you notice by email to the address associated with your Affiliate account, through the Program dashboard, or through Program platforms such as the Affiliate Discord community, and such notice is effective when sent or posted. You may give notice to the Company by email to innoaffiliates@innosupps.com.
6. Arbitration. Any controversy, dispute, or claim arising out of or relating to these Terms, the Program, or the breach, termination, enforcement, interpretation, or validity of these Terms (including the scope or applicability of this agreement to arbitrate) shall be conclusively resolved through final and binding arbitration in Clark County, Nevada, administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator.

   The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorneys' fees, and the parties shall share equally the arbitrator's fees and administrative costs, except as the arbitrator may otherwise award where permitted by applicable law. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information pending arbitration.

   You understand that by agreeing to arbitration, you are waiving your right to resolve disputes in a court of law before a judge or jury.

7. Class Action Waiver. To the fullest extent permitted by law, all claims must be brought in a party's individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding, and the arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.
8. Governing Law and Venue. These Terms and all related documents, and all matters arising out of or relating to the Program, whether sounding in contract, tort, or statute, are governed by, construed in accordance with, and enforced under the laws of the State of Nevada and the Federal Arbitration Act, without giving effect to any conflict of laws provisions that would require or permit the application of the laws of any other jurisdiction.

   Subject to Section O.6, any legal suit, action, or proceeding arising out of or relating to these Terms or the Program must be instituted in the federal courts of the United States or the courts of the State of Nevada, in each case located in Clark County, Nevada, and each party irrevocably submits to the exclusive jurisdiction of those courts and waives any objection based on jurisdiction or venue, including forum non conveniens. These Terms shall be interpreted in accordance with the plain meaning of their terms and not strictly for or against either party.

9. Severability. If any part of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid or unenforceable, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of these Terms shall continue in full force and effect. If no enforceable provision can be substituted, the provision will be deemed severed and will not affect the validity and enforceability of the remaining provisions.
10. No Waiver. Any failure of a party to enforce, for any period of time, any of these Terms will not be construed as a waiver of that provision or of the right of that party thereafter to enforce each and every provision of these Terms.
11. Equitable Relief. You acknowledge that a breach of Sections E, F, G, J, L, or M may cause the Company irreparable harm for which monetary damages would be an inadequate remedy, and that the Company is entitled to seek injunctive or other equitable relief for any such breach, without the necessity of posting a bond, in addition to any other remedy.
12. Electronic Agreement. You agree that clicking to accept, checking a box, applying to, enrolling in, or continuing to participate in the Program constitutes your electronic signature and acceptance of these Terms, with the same force and effect as a handwritten signature, and that the Company may provide these Terms and all Program notices to you electronically.
13. Relationship to Other Agreements. If you and the Company have signed a separate written agreement covering specific paid content, licensing, or services, that agreement governs the matters it addresses, and these Terms govern all other aspects of your participation in the Program.

    If you also promote Inno Supps products through a third-party marketplace affiliate program (for example, TikTok Shop), that platform's terms govern the commissions paid through it, and the conduct, content, claims, confidentiality, and non-disparagement standards in Sections D, E, F, G, J, and M of these Terms also apply to your promotion of Inno Supps products on that platform.

14. Entire Agreement. These Terms, together with the Program guidance and brand guidelines incorporated by reference and the Site policies referenced in Section A, constitute the complete and final agreement of the parties pertaining to the Program and your participation in it, and supersede all prior agreements, understandings, and discussions relating to the Program, including any prior version of these Terms.
15. Knowing and Voluntary Agreement. By applying to and electing to participate in the Program, you acknowledge that:
    • You have carefully read and fully understand all provisions of these Terms.
    • You knowingly and voluntarily agree to all of the conditions, expectations, and obligations set forth in these Terms and agree to be legally bound by all of them.
    • You have been, and hereby are, advised in writing to consider these Terms and to consult with an attorney of your choice regarding them.
    • To the extent necessary or desired, you have consulted with counsel of your choice concerning these Terms, or you have freely chosen not to do so.
